Determination of Evidence, Interim Injunctions and Holistic Risk Management in Turkey<\/a><\/li><\/ul><\/li><\/ul><\/li><\/ul><\/nav><\/div>\n<h1 data-start=\"0\" data-end=\"45\"><span class=\"ez-toc-section\" id=\"WHAT_ARE_THE_LEGAL_CONSEQUENCES_OF_TRADING_FAKE_AND_COUNTERFEIT_PRODUCTS_IN_TURKEY\"><\/span>WHAT ARE THE LEGAL CONSEQUENCES OF TRADING FAKE AND COUNTERFEIT PRODUCTS IN TURKEY?<span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p data-path-to-node=\"3\">According to the <b data-path-to-node=\"3\" data-index-in-node=\"17\">2025 Global Map of Counterfeit Trade<\/b> data by the <b data-path-to-node=\"3\" data-index-in-node=\"66\">OECD<\/b> and <b data-path-to-node=\"3\" data-index-in-node=\"75\">EUIPO<\/b>, Turkey ranks <b data-path-to-node=\"3\" data-index-in-node=\"95\">second globally after China<\/b><strong> in counterfeit trade,<\/strong> with the market size reaching <b data-path-to-node=\"3\" data-index-in-node=\"175\">17.2 billion dollars<\/b>. These data reveal that <strong>the legal consequences of selling fake products are not merely a theoretical risk,<\/strong> but constitute a <b data-path-to-node=\"3\" data-index-in-node=\"327\">concrete legal reality<\/b> directly affecting thousands of <strong>commercial transactions, e-commerce actors, and consumers daily in Turkey.<\/strong><\/p>\n<p data-path-to-node=\"4\"><strong>Trading counterfeit products in Turkey<\/strong> is a <b data-path-to-node=\"4\" data-index-in-node=\"34\">multidisciplinary and multi-layered field of legal infringement<\/b> situated at the intersection of the <b data-path-to-node=\"4\" data-index-in-node=\"134\">Industrial Property Code (IPC)<\/b>, the <b data-path-to-node=\"4\" data-index-in-node=\"170\">Turkish Penal Code (TPC)<\/b>, <b data-path-to-node=\"4\" data-index-in-node=\"196\">Consumer Law<\/b>, and <b data-path-to-node=\"4\" data-index-in-node=\"214\">Customs Legislation<\/b>. Infringement of rights arising from <strong>trademark registration,<\/strong> <strong>acts of unfair competition, criminal sanctions,<\/strong> and <strong>the inspection powers of customs authorities<\/strong> form the foundation of this legal regime.<\/p>\n<p data-path-to-node=\"5\">The issue is not merely a dispute of trademark infringement between private law individuals. <b data-path-to-node=\"5\" data-index-in-node=\"93\">Unregistered production and distribution chains<\/b> lead to severe tax losses in terms of public finance, whereas non-standard production creates threats concerning public order regarding <b data-path-to-node=\"5\" data-index-in-node=\"277\">consumer health and safety<\/b>. Therefore, <strong>trading counterfeit products must be evaluated within a<\/strong> <b data-path-to-node=\"5\" data-index-in-node=\"372\">holistic legal framework<\/b> that possesses a public dimension beyond <strong>the protection of the trademark owner&#8217;s commercial reputation.<\/strong><\/p>\n<p data-path-to-node=\"6\">In this study, the <b data-path-to-node=\"6\" data-index-in-node=\"19\">criminal sanctions<\/b> for <strong>selling counterfeit products in Turkey, the<\/strong> <b data-path-to-node=\"6\" data-index-in-node=\"76\">legal protection mechanisms<\/b> available to trademark owners, the <b data-path-to-node=\"6\" data-index-in-node=\"139\">legal liability of e-commerce marketplaces<\/b>, <b data-path-to-node=\"6\" data-index-in-node=\"183\">seizure procedures<\/b> at the customs stage, and the <b data-path-to-node=\"6\" data-index-in-node=\"232\">legal rights<\/b> held by consumers are examined <b data-path-to-node=\"3,0\" data-index-in-node=\"277\">under Turkish law<\/b> <strong>in light of doctrine and jurisprudence.<\/strong><\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/article>\n<\/div><\/div><div class=\"w-separator size_small\"><\/div><div class=\"w-iconbox us_custom_aea21514 iconpos_left style_default color_secondary align_left no_title\"><div class=\"w-iconbox-icon\" style=\"font-size:30px;\"><i class=\"far fa-gavel\"><\/i><\/div><div class=\"w-iconbox-meta\"><div class=\"w-iconbox-text\"><p data-start=\"0\" data-end=\"75\"><strong data-start=\"0\" data-end=\"75\">Article 29 \u2013 <a href=\"https:\/\/www.mevzuat.gov.tr\/mevzuat?MevzuatNo=6769&amp;MevzuatTur=1&amp;MevzuatTertip=5\" target=\"_blank\" rel=\"noopener\">Acts Deemed to Constitute Infringement of Trademark Rights<\/a><\/strong><\/p>\n<p data-start=\"77\" data-end=\"163\">(1) The following acts shall be deemed to constitute infringement of trademark rights:<\/p>\n<ol>\n<li>a) Using the trademark in the forms specified in Article 7 without the consent of the trademark proprietor.<\/li>\n<li>b) Imitating the trademark by using the trademark or a sign so similar to it as to be indistinguishable, without the consent of the trademark proprietor.<\/li>\n<li>c) Selling, distributing, otherwise placing into the course of trade, subjecting to import procedures, exporting, possessing for commercial purposes, or making an offer to conclude a contract concerning products bearing a trademark used through infringement, where the person knows or should have known that the trademark was imitated by using the trademark or a sign so similar to it as to be indistinguishable.<\/li>\n<li>\u00e7) Unlawfully extending the rights granted by the trademark proprietor through a licence or transferring such rights to third parties.<\/li>\n<\/ol>\n<p data-start=\"979\" data-end=\"1208\" data-is-last-node=\"\" data-is-only-node=\"\">(2) The provision of the second paragraph of Article 19 may be raised as a defence in infringement proceedings. In such case, the date of the action shall be taken as the basis for determining the five-year period concerning use.<\/p>\n<\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/section><section class=\"l-section wpb_row height_auto\"><div class=\"l-section-h i-cf\"><div class=\"g-cols vc_row via_grid cols_1 laptops-cols_inherit tablets-cols_inherit mobiles-cols_1 valign_top type_default stacking_default\"><div class=\"wpb_column vc_column_container\"><div class=\"vc_column-inner\"><div class=\"wpb_text_column us_custom_275474cc has_text_color\"><div class=\"wpb_wrapper\"><h2><span class=\"ez-toc-section\" id=\"WHAT_DOES_A_COUNTERFEIT_OR_FAKE_PRODUCT_MEAN_IN_TURKEY\"><\/span><strong>WHAT DOES A COUNTERFEIT OR FAKE PRODUCT MEAN IN TURKEY?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p data-path-to-node=\"4\"><strong>In Turkish law, the expression &#8220;counterfeit product&#8221; refers to the use of a registered trademark, or of a sign so similar to it as to create a likelihood of confusion, on a product or its packaging without the consent of the trademark owner.<\/strong> This concept also covers the terms<strong> &#8220;knock-off&#8221;, &#8220;identical quality&#8221; or &#8220;replica&#8221;<\/strong> used in commercial life and in everyday speech; what is decisive in the legal assessment, however, is not the quality of the product but <strong>whether there has been a violation of trademark rights.<\/strong><\/p>\n<p data-path-to-node=\"5\"><strong>In practice, counterfeit and fake products are encountered most often in the ready-to-wear clothing, cosmetics, electronic accessories, luxury watch and automotive spare part sectors. Trade in counterfeit goods is in essence an infringement of <a href=\"https:\/\/www.cbhukuk.com\/en\/practice-areas\/ip-law-in-turkey\/\">intellectual property rights in Turkey<\/a>.<\/strong> However, for a sign to benefit from this protection regime,<strong> the trademark must have been registered before the Turkish Patent and Trademark Office (T\u00dcRKPATENT). <\/strong><\/p>\n<p data-path-to-node=\"5\">For unregistered signs the protection available under <strong>trademark law in Turkey<\/strong> cannot be invoked; in that case<strong> the general unfair competition provisions of the Turkish Commercial Code (TCC)<\/strong> come into play, and it becomes important for the process to be conducted <strong>with the support of a <a href=\"https:\/\/www.cbhukuk.com\/en\/commercial-lawyer-in-turkey\/\">commercial law attorney<\/a><\/strong>.<\/p>\n<p data-path-to-node=\"7\">When assessing <strong>whether a product or a sign is to be regarded as counterfeit<\/strong>, the basic criterion applied in legal doctrine and in case law is the <b data-path-to-node=\"7\" data-index-in-node=\"138\">likelihood of confusion (iltibas)<\/b> test.<\/p>\n<p data-path-to-node=\"8\"><strong>In the confusion assessment made by the Turkish courts, it is accepted that the average consumer has no opportunity to place the two signs side by side and examine them in detail.<\/strong> What is decisive is <strong>whether the consumer is likely to be confused<\/strong> on the basis of the general impression retained in his or her mind alone.<\/p>\n<p data-path-to-node=\"8\"><strong>The following elements are taken into account as a whole when this examination is carried out:<\/strong><\/p>\n<ul>\n<li data-path-to-node=\"9,0,0\"><b data-path-to-node=\"9,0,0\" data-index-in-node=\"0\">Similarity of the signs:<\/b> The degree of <strong>visual, aural (phonetic) and conceptual (semantic)<\/strong> similarity between the trademarks.<\/li>\n<li data-path-to-node=\"9,1,0\"><b data-path-to-node=\"9,1,0\" data-index-in-node=\"0\">Classes of goods and services:<\/b> Whether the goods or services on which the signs are used are <strong>of the same or a similar type<\/strong>.<\/li>\n<\/ul>\n<p data-path-to-node=\"10\">In proceedings before the Turkish courts this finding is <strong>substantiated by the technical reports of expert panels<\/strong> and is freely appraised by the court. The second paragraph of the article regulates the unauthorised removal, from a product or its packaging, of symbols or signs indicating that trademark protection exists as a separate type of offence, and provides for <b data-path-to-node=\"6\" data-index-in-node=\"211\">imprisonment from one year to three years and a judicial fine of up to five thousand days<\/b> for that act.<\/span><\/p>\n<\/blockquote>\n<ul>\n<li data-path-to-node=\"7\">\n<h3><span class=\"ez-toc-section\" id=\"What_Are_the_Basic_Criteria_for_Determining_the_Amount_of_the_Penalty_for_Selling_Counterfeit_Products_in_Turkey\"><\/span>What Are the Basic Criteria for Determining the Amount of the Penalty for Selling Counterfeit Products in Turkey?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"8\"><strong>In practice, how the penalty is to be determined in a specific case is decided in line with the general principles of the Turkish Penal Code (TPC).<\/strong> When the judge exercises discretion as to the amount of the penalty between the lower and upper limits laid down in the law<strong> (1 to 3 years of imprisonment)<\/strong>, the following points are taken into account:<\/p>\n<ol>\n<li data-path-to-node=\"9,0,0\"><b data-path-to-node=\"9,0,0\" data-index-in-node=\"0\">Intensity of intent and unlawful gain:<\/b> The scale of the infringement, the amount of unlawful gain obtained or aimed at, and the commercial volume of the products concerned.<\/li>\n<li data-path-to-node=\"9,1,0\"><b data-path-to-node=\"9,1,0\" data-index-in-node=\"0\">Repeat offending and the manner in which the offence is committed:<\/b> Repetition of the infringement, commission of the offence within the activity of a criminal organisation, or its taking on a systematic structure are decisive factors in bringing the penalty closer to the upper limit.<\/li>\n<\/ol>\n<p data-path-to-node=\"11\"><strong>For criminal liability to arise under Turkish law, the perpetrator must have acted with intent as the mental element.<\/strong> In other words, the perpetrator must have carried out the act although he<strong> knew that the product offered for sale or trade was counterfeit, or ought,<\/strong> <b data-path-to-node=\"11\" data-index-in-node=\"210\">in the ordinary course of events, to have known<\/b> this. <strong>The medium in which the act takes place is irrelevant for the offence to arise.<\/strong> Sales made in a physical <strong>place of business, at a neighbourhood market, on social media platforms or on e-commerce marketplaces<\/strong> are subject to the same liability regime.<\/p>\n<p data-path-to-node=\"13\">It must be emphasised that, under IPL Art. 30, <b data-path-to-node=\"13\" data-index-in-node=\"63\">an actual sale is not required for a penalty to be imposed.<\/b> The acts of <strong>&#8220;offering for sale&#8221;, &#8220;storing&#8221;, &#8220;possessing&#8221; and &#8220;transporting&#8221;<\/strong> set out in the text of the law are independent alternative acts. <strong>Accordingly, listing a counterfeit product on a website, displaying it in a shop window or keeping it in a warehouse for commercial purposes is enough under Turkish law for the offence to be complete, even where not a single sale has yet taken place.<\/strong><\/p>\n<p>Finally, the position of third parties who do not sell directly but knowingly take part in the process is assessed under <strong>the complicity provisions of the TPC (incitement or aiding and abetting)<\/strong>. <strong>Carriers that provide the logistics for counterfeit and fake products, and businesses that offer storage facilities knowing that the products are counterfeit, may also face criminal liability according to their degree of participation.<\/strong><\/p>\n<ul>\n<li data-path-to-node=\"5\">\n<h3><span class=\"ez-toc-section\" id=\"Conditions_for_Benefiting_from_the_Effective_Remorse_Provision_in_Turkey\"><\/span><strong>Conditions for Benefiting from the Effective Remorse Provision in Turkey<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"3\">Another critical mechanism that allows a suspect or a defendant in trademark infringement offences <strong>to escape criminal sanction entirely<\/strong> is the special provision set out in <b data-path-to-node=\"3\" data-index-in-node=\"132\">Article 30, paragraph 7 of the Industrial Property Law No. 6769<\/b> on <b data-path-to-node=\"3\" data-index-in-node=\"215\">effective remorse<\/b>. In order t<strong>o encourage the exposure of the principal perpetrators who manufacture counterfeit products or act as the main supplier<\/strong>, Turkish legislation grants a statutory possibility of impunity to persons who sell or possess the product.<\/p>\n<p data-path-to-node=\"6\"><strong>Under IPL Art. 30\/7<\/strong>, for a person who sells, offers for sale, delivers, transports or stores a counterfeit product <strong>to be exempted from the penalty<\/strong> laid down in that article, the following conditions must be met together:<\/p>\n<ol>\n<li data-path-to-node=\"7,0,0\"><b data-path-to-node=\"7,0,0\" data-index-in-node=\"0\">Disclosure of the source of supply:<\/b> The person must state to the judicial authorities in Turkey, with a clarity that leaves no room for doubt, where the counterfeit goods were obtained from<strong> (the manufacturer, the wholesaler or the supplier).<\/strong><\/li>\n<li data-path-to-node=\"7,1,0\"><b data-path-to-node=\"7,1,0\" data-index-in-node=\"0\">Apprehension of the perpetrators or seizure of the products:<\/b> The information provided must <b data-path-to-node=\"7,1,0\" data-index-in-node=\"185\">actually enable<\/b> the principal perpetrators <strong>(manufacturer\/distributor)<\/strong> to be identified and apprehended, or other counterfeit products to be seized.<\/li>\n<li data-path-to-node=\"7,2,0\"><b data-path-to-node=\"7,2,0\" data-index-in-node=\"0\">Time limit:<\/b> This genuine disclosure must be made at <strong>the latest before the court delivers its judgment.<\/strong><\/li>\n<\/ol>\n<p data-path-to-node=\"9\">If the suspect or the defendant fulfils the conditions above, <b data-path-to-node=\"9\" data-index-in-node=\"75\">no penalty is imposed.<\/b> Under Turkish criminal law this is not a reduction of the penalty but directly <strong>a statutory<\/strong> <b data-path-to-node=\"9\" data-index-in-node=\"149\">ground of impunity.<\/b><\/p>\n<p data-path-to-node=\"10\">In practice, for <strong>prudent businesses or sellers who believe they have entered into an honest commercial relationship but are supplied with counterfeit goods by their supplier<\/strong>, IPL Art. 30\/7 is the most effective legal route to escaping criminal liability entirely, by<strong> immediately reporting the source of supply to the public prosecutor during the criminal investigation, together with invoices, delivery notes and communication records<\/strong>.<\/p>\n<ul>\n<li>\n<h3 data-path-to-node=\"5\"><span class=\"ez-toc-section\" id=\"Who_Holds_the_Right_of_Complaint_in_the_Trade_in_Counterfeit_and_Fake_Products_in_Turkey\"><\/span>Who Holds the Right of Complaint in the Trade in Counterfeit and Fake Products in Turkey?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"5\"><strong>The offences of infringement of trademark rights under IPL Art. 30 fall into the category of complaint-based offences.<\/strong> Chief Public Prosecutor&#8217;s Offices in Turkey therefore cannot conduct an investigation ex officio (of their own motion); <strong>the start of the investigation stage depends on the existence of a duly filed complaint.<\/strong><\/p>\n<p data-path-to-node=\"7\"><strong>As a rule, the right of complaint belongs to the owner of the registered trademark.<\/strong> However, persons who <strong>have obtained an<\/strong> <b data-path-to-node=\"7\" data-index-in-node=\"97\">exclusive licence<\/b> from the trademark holder may also exercise this right within the framework of the <a href=\"https:\/\/www.cbhukuk.com\/en\/practice-areas\/contract-law-in-turkey\/\"><strong>contract provisions<\/strong><\/a> and <strong>the rules of the Industrial Property Law<\/strong>. In the same way, processes relating to criminal proceedings <strong>cannot be assessed within the scope of mandatory mediation either.<\/strong><\/p>\n<p data-path-to-node=\"6\"><strong>However, because the offence is among the complaint-based offences, the parties are given a special opportunity to resolve the dispute outside the proceedings.<\/strong> During the investigation and the prosecution stages, through a <b data-path-to-node=\"6\" data-index-in-node=\"259\">Settlement and Release Protocol<\/b> <strong>concluded between the trademark owner and the party committing the counterfeit product infringement, criminal sanctions can be avoided.<\/strong><\/p>\n<p data-path-to-node=\"6\">In practice, a significant proportion of <strong>counterfeit product cases in Turkey<\/strong> end with <strong>settlement protocols signed by the parties coming together privately and the withdrawal petitions submitted afterwards<\/strong>, even though the settlement procedure is not applied by law. <strong>In complaint-based offences, the withdrawal of the complaint by the complainant (the trademark owner) is a conclusive legal ground that terminates the criminal investigation and the public case.<\/strong><\/p>\n<p data-path-to-node=\"9\"><strong>Where the parties settle, the legal process to be followed operates as follows:<\/strong><\/p>\n<ol start=\"1\" data-path-to-node=\"10\">\n<li>\n<p data-path-to-node=\"10,0,0\"><b data-path-to-node=\"10,0,0\" data-index-in-node=\"0\">Conclusion of a private law protocol:<\/b> The trademark owner and the infringing party prepare a Settlement Protocol covering matters such as<strong> payment of the amount of damages, destruction of the counterfeit goods, disclosure of the supply channels and the setting of a penalty clause for non-repetition of the infringement<\/strong>.<\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"10,1,0\"><b data-path-to-node=\"10,1,0\" data-index-in-node=\"0\">Declaration of withdrawal of the complaint:<\/b> Once the terms of the protocol have been fulfilled, the trademark holder notifies the judicial authorities <strong>(the Chief Public Prosecutor&#8217;s Office or the Criminal Court)<\/strong> by a petition <strong>that the complaint is withdrawn.<\/strong><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"10,2,0\"><b data-path-to-node=\"10,2,0\" data-index-in-node=\"0\">The decision stage:<\/b><\/p>\n<ul data-path-to-node=\"10,2,1\">\n<li>\n<p data-path-to-node=\"10,2,1,0,0\">If the withdrawal of the complaint takes place <b data-path-to-node=\"10,2,1,0,0\" data-index-in-node=\"20\">at the investigation stage<\/b>, the Chief Public Prosecutor&#8217;s Office issues a <strong><i data-path-to-node=\"10,2,1,0,0\" data-index-in-node=\"84\">Decision of Non-Prosecution (KYOK)<\/i><\/strong>.<\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"10,2,1,1,0\">If the withdrawal of the complaint takes place <b data-path-to-node=\"10,2,1,1,0\" data-index-in-node=\"20\">at the prosecution (trial) stage<\/b> and before the judgment has become final, the court decides on the <strong><i data-path-to-node=\"10,2,1,1,0\" data-index-in-node=\"140\">Dismissal of the Public Case<\/i><\/strong> under TPC Art. 73\/4 and Code of Criminal Procedure Art. 223\/8.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p data-path-to-node=\"13\">However, since <strong>a declaration of withdrawal of the complaint may as a rule produce no effect unless it is accepted by the suspect or the defendant (TPC Art. 73\/6), and since a withdrawal cannot be reversed unilaterally<\/strong>, it is of great importance that the settlement protocol be drafted with care, <strong>taking into account the parameters of both criminal law and the law of obligations in Turkey<\/strong>.<\/p>\n<h2 data-path-to-node=\"3\"><span class=\"ez-toc-section\" id=\"WHICH_SANCTIONS_ARE_APPLIED_TO_A_PERSON_SELLING_FAKE_PRODUCTS_IN_TURKEY\"><\/span>WHICH SANCTIONS ARE APPLIED TO A PERSON SELLING FAKE PRODUCTS IN TURKEY?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p data-path-to-node=\"4\">Trade in counterfeit goods is not limited to the <strong>offence of trademark infringement (IPL Art. 30)<\/strong>; depending on <strong>the way the product is presented, the intent of the seller and the deception of the buyer<\/strong>, it may also breach the <strong>general offence types<\/strong> regulated in the Turkish Penal Code.<\/p>\n<ul>\n<li data-path-to-node=\"5\">\n<h3><span class=\"ez-toc-section\" id=\"The_Relationship_Between_Selling_Counterfeit_Products_and_the_Offence_of_Fraud_in_Turkey_TPC_Arts_157-158\"><\/span>The Relationship Between Selling Counterfeit Products and the Offence of Fraud in Turkey (TPC Arts. 157-158)<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"6\">Where a counterfeit product is sold to the buyer <strong>with deceptive conduct suggesting that it is original<\/strong>, the offence of <strong><a href=\"https:\/\/www.cbhukuk.com\/en\/fraud-crime-in-turkey\/\">fraud<\/a><\/strong> <strong>arises<\/strong>, either as the <b data-path-to-node=\"6\" data-index-in-node=\"131\">Basic Fraud<\/b> regulated in TPC Art. 157 or as the <b data-path-to-node=\"6\" data-index-in-node=\"182\">Aggravated Fraud<\/b> regulated in TPC Art. 158.<\/p>\n<ol>\n<li data-path-to-node=\"7,0,0\"><b data-path-to-node=\"7,0,0\" data-index-in-node=\"0\">Criminal sanction:<\/b> Basic fraud carries <b data-path-to-node=\"7,0,0\" data-index-in-node=\"42\">imprisonment from one year to five years<\/b>, whereas where the act is committed <strong>through information systems (e-commerce sites, social media) or within the activity of a commercial enterprise<\/strong>, <strong>imprisonment from three<\/strong><b data-path-to-node=\"7,0,0\" data-index-in-node=\"237\"> years to ten years<\/b> applies.<\/li>\n<li data-path-to-node=\"7,1,0\"><b data-path-to-node=\"7,1,0\" data-index-in-node=\"0\">Legal distinction and the mental element:<\/b> Under Turkish law, the basic legal distinction between IPL Art. 30 and TPC Arts. 157\/158 lies in the point of <strong>whether the will of the buyer has been vitiated<\/strong>. Where the product is openly sold with the descriptions <strong><i data-path-to-node=\"7,1,0\" data-index-in-node=\"176\">&#8220;replica&#8221;<\/i>, <i data-path-to-node=\"7,1,0\" data-index-in-node=\"187\">&#8220;identical equivalent&#8221;<\/i> or <i data-path-to-node=\"7,1,0\" data-index-in-node=\"209\">&#8220;knock-off&#8221;<\/i><\/strong>, <strong>the buyer knows that the product is counterfeit, so the elements of deception and misleading conduct required for fraud do not arise<\/strong>; the act remains only at the level of<strong> trademark infringement under IPL Art. 30<\/strong>. However, if the counterfeit product has been sold at the price of the original and with an impression of authenticity created, <strong>the perpetrator faces the risk of double criminal liability under both IPL Art. 30 and TPC Art. 158, within the framework of the rules on notional and material concurrence of offences<\/strong>.<\/li>\n<\/ol>\n<ul>\n<li data-path-to-node=\"8\">\n<h3><span class=\"ez-toc-section\" id=\"Do_Legal_Entities_Companies_Bear_Civil_and_Criminal_Liability_for_Selling_Counterfeit_Products_in_Turkey\"><\/span>Do Legal Entities (Companies) Bear Civil and Criminal Liability for Selling Counterfeit Products in Turkey?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"9\"><strong>Under Turkish criminal law, as a matter of principle, legal entities have no direct criminal capacity (criminal liability).<\/strong> The perpetrator of the offence is always the natural person <strong>who manages and directs the company or who commits the act<\/strong>. However, where the trade in counterfeit goods is carried on <strong>within an <a href=\"https:\/\/www.cbhukuk.com\/en\/company-types-in-turkey\/\">incorporated company in Turkey<\/a> or in the course of <a href=\"https:\/\/www.cbhukuk.com\/en\/corporate-law-in-turkey\/\">company&#8217;s activities<\/a><\/strong>, legal entities may be subject to <strong>Special Security Measures<\/strong> under Article 60 of the TPC.<\/p>\n<p data-path-to-node=\"10\">The <strong>principal security measures<\/strong> that may be ordered against companies are as follows:<\/p>\n<ol>\n<li data-path-to-node=\"11,0,0\"><b data-path-to-node=\"11,0,0\" data-index-in-node=\"0\">Cancellation of the operating licence:<\/b> Cancellation of the<strong> licence or operating permit that made the commission of the offence possible.<\/strong><\/li>\n<li data-path-to-node=\"11,1,0\"><b data-path-to-node=\"11,1,0\" data-index-in-node=\"0\">Confiscation of goods and gains:<\/b> Seizure of the counterfeit products, of the tools and equipment used in their production and of the unlawful gain obtained from this trade<strong> (the proceeds of crime).<\/strong><\/li>\n<\/ol>\n<p data-path-to-node=\"13\">One of the typical scenarios frequently met in practice in Turkey is<strong> commercial companies placing on the market, as original, products they have sourced outside authorised distributor or official importer channels (from the grey market).<\/strong><\/p>\n<p data-path-to-node=\"13\"><strong>The heavy legal and financial sanctions arising from the trade in fake goods do not cover only the bad-faith actors who commit this act intentionally.<\/strong> Honest businesses that are under the duty to act as a prudent merchant (TCC Art. 18\/2) and that <strong>unknowingly buy or distribute counterfeit products in the supply chain may also face serious criminal and civil liability risks under Turkish law<\/strong>.<\/p>\n<p data-path-to-node=\"14\"><strong>In such cases, company officers have a duty, under the obligation to act as a prudent merchant (TCC Art. 18\/2), to investigate the source of the products and to show reasonable care<\/strong>. Where it is proved that the product was known to be fake, or that this could objectively have been known,<strong> the merchant&#8217;s claim to have acted &#8220;in good faith&#8221; is not accepted<\/strong> and both criminal sanctions and the security measures specific to legal entities are applied before the Turkish courts.<\/p>\n<p data-path-to-node=\"6\">In order for businesses not to face counterfeit product risk, or to be able to prove that they acted prudently in the event of a possible infringement, they need to operate <strong>preventive law mechanisms<\/strong>:<\/p>\n<ol>\n<li data-path-to-node=\"7,0,0\"><b data-path-to-node=\"7,0,0\" data-index-in-node=\"0\">Supplier due diligence:<\/b> When selecting a supplier, the firms&#8217; <strong>authorised dealership\/distributorship certificates, invoice chain and certificates of origin for the products<\/strong> must be examined with care.<\/li>\n<li data-path-to-node=\"7,1,0\"><b data-path-to-node=\"7,1,0\" data-index-in-node=\"0\">Contractual warranty and recourse clauses:<\/b> To the <a href=\"https:\/\/www.cbhukuk.com\/en\/practice-areas\/business-law-in-turkey\/\"><strong>commercial sale and purchase contracts <\/strong><\/a>concluded with the supplier, <strong>express warranty undertakings as to the originality of the products, and heavy penalty clauses providing that all criminal and civil damages and attorney fees arising in the event of infringement will be recovered from the supplier,<\/strong> should be added.<\/li>\n<li data-path-to-node=\"7,2,0\"><b data-path-to-node=\"7,2,0\" data-index-in-node=\"0\">Financial and tax dimension:<\/b> Since the trade in counterfeit goods in Turkey is mostly carried on through unregistered financial channels, sanctions may arise because of the use of <strong>false or misleading documents (fake invoices)<\/strong>, such as<strong> tax evasion and irregularity penalties under the Tax Procedure Law (TPL), administrative fines and <a href=\"https:\/\/www.cbhukuk.com\/en\/vat-in-turkey\/\">VAT penalties<\/a><\/strong>. In that case,<strong> <a href=\"https:\/\/www.cbhukuk.com\/en\/tax-liability-responsibility-in-companies-in-turkey\/\">the tax debt liability arising in companies<\/a><\/strong> makes it necessary for the process to be conducted with <a href=\"https:\/\/www.cbhukuk.com\/en\/legal-services\/tax-lawyer-in-turkey\/\"><strong>tax law expertise in Turkey<\/strong><\/a>.<\/li>\n<\/ol>\n<ul>\n<li data-path-to-node=\"3\">\n<h3><span class=\"ez-toc-section\" id=\"What_Are_the_Administrative_Supervision_Mechanisms_for_the_Counterfeit_Product_Trade_in_Turkey\"><\/span>What Are the Administrative Supervision Mechanisms for the Counterfeit Product Trade in Turkey?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"4\">The fight against counterfeit and fake products does not consist only of the <strong>judicial (criminal and civil) processes<\/strong> left to the initiative of the trademark owner. The <strong>supervision and sanction regimes<\/strong> operated by the administrative authorities in Turkey in order to protect public order, <strong>public health and the balance of the market are also a complementary element of this legal framework.<\/strong><\/p>\n<h4 data-path-to-node=\"4\"><span class=\"ez-toc-section\" id=\"a_Market_Surveillance_and_Municipal_Police_Inspections_in_Turkey\"><\/span>a) Market Surveillance and Municipal Police Inspections in Turkey<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<p data-path-to-node=\"6\"><strong>Administrative supervision processes<\/strong> are carried out at two levels, within <strong>the powers conferred on central and local administrative units<\/strong> by Turkish legislation:<\/p>\n<ul>\n<li data-path-to-node=\"7,0,0\"><b data-path-to-node=\"7,0,0\" data-index-in-node=\"0\">Market surveillance and inspection by the Ministry of Trade:<\/b> <strong>Inspectors and auditors of the Ministry of Trade<\/strong> may <strong>carry out inspections in physical and digital channels<\/strong> under the Product Safety and Technical Regulations Law and the related legislation. Products that carry a product safety risk or that raise a suspicion of intellectual property infringement may<strong> be seized by administrative decision<\/strong>, r<strong>ecall decisions may be taken and heavy administrative fines may be imposed.<\/strong><\/li>\n<li data-path-to-node=\"7,1,0\"><b data-path-to-node=\"7,1,0\" data-index-in-node=\"0\">Powers of municipal police units:<\/b> At local level, municipal police apply <strong>administrative sanctions and seizure measures against counterfeit product sales carried out in particular through street vending, unregistered stalls or unlicensed businesses<\/strong>, within the framework of Municipal Law No. 5393 and the Municipal Police Regulation.<\/li>\n<\/ul>\n<h4><span class=\"ez-toc-section\" id=\"b_The_Legal_Nature_of_Administrative_Reports_in_Criminal_Investigations_and_Cases_in_Turkey\"><\/span>b) The Legal Nature of Administrative Reports in Criminal Investigations and Cases in Turkey<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<p data-path-to-node=\"9\"><strong>Administrative supervision mechanisms operate independently of the criminal complaint of the trademark owner or of the civil cases it may file.<\/strong> However, the <strong>official records and determination reports<\/strong> drawn up by the competent public officials in this process go beyond the administrative law dimension and <strong>have a direct effect on the judicial courts.<\/strong><\/p>\n<p data-path-to-node=\"10\">The <strong>reports drawn up during administrative inspection, the samples taken into custody and the photographic findings<\/strong> have <b data-path-to-node=\"10\" data-index-in-node=\"251\">the quality of strong discretionary evidence within the meaning of Code of Civil Procedure Art. 204 and Code of Criminal Procedure Art. 217<\/b> <strong>in the criminal investigations under IPL Art. 30 and in the damages cases before the Civil IP Courts that are opened afterwards.<\/strong><\/p>\n<p data-path-to-node=\"11\">For this reason, it is of great importance that the matters and the defences recorded in the report at the administrative inspection stage be managed<strong> with a strategic legal approach that takes into account the judicial proceedings that may arise in future<\/strong> before the Turkish courts.<\/p>\n<ul>\n<li Industrial Property Law offers the holder whose trademark right has been infringed a broad area of civil protection, entirely independent of the criminal proceedings in Turkey.<\/strong> The criminal case and the civil cases can generally be conducted<strong> at the same time<\/strong>, and the absence of a criminal case<strong> is no obstacle to filing a civil case.<\/strong><\/p>\n<h4 proprietor may bring the following performance and declaratory actions<\/strong> before the Turkish courts within the framework of <strong>the provisions of IPL Art. 29<\/strong>:<\/p>\n<ul>\n<li data-path-to-node=\"7,0,0\"><b data-path-to-node=\"7,0,0\" data-index-in-node=\"0\">Determination, cessation and prevention of the infringement:<\/b> Determination of <strong>the existence of the unlawful act, stopping of the continuing infringement and prevention of possible acts of infringement<\/strong> in Turkey.<\/li>\n<li data-path-to-node=\"7,1,0\"><b data-path-to-node=\"7,1,0\" data-index-in-node=\"0\">Seizure and confiscation:<\/b> Seizure of <strong>the counterfeit products, of their packaging and of the tools, equipment and machinery<\/strong> used in their production.<\/li>\n<li data-path-to-node=\"7,2,0\"><b data-path-to-node=\"7,2,0\" data-index-in-node=\"0\">Removal of the trademark and destruction:<\/b> <strong>Scraping or removal of the trademarks on the products, or destruction of the products<\/strong> if this is unavoidable in order to prevent the infringement.<\/li>\n<\/ul>\n<h4 data-path-to-node=\"8\"><span class=\"ez-toc-section\" id=\"b_Claims_for_Pecuniary_and_Non-Pecuniary_Damages_in_Turkey_IPL_Art_150\"><\/span>b) Claims for Pecuniary and Non-Pecuniary Damages in Turkey (IPL Art. 150)<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<p data-path-to-node=\"9\"><strong>A person who infringes an industrial property right in Turkey is liable to provide compensation for every kind of loss suffered by the rights holder because of that infringement<\/strong>. The legal basis of damages claims is shaped by <strong>IPL Arts. 150 and 151<\/strong>:<\/p>\n<ol>\n<li data-path-to-node=\"10,0,0\"><b data-path-to-node=\"10,0,0\" data-index-in-node=\"0\">Pecuniary damages:<\/b> This covers the actual loss directly suffered by the rights holder because of the act of infringement.<\/li>\n<li data-path-to-node=\"10,1,0\"><b data-path-to-node=\"10,1,0\" data-index-in-node=\"0\">Reputational damages (IPL Art. 150\/2):<\/b> Where <strong>the standing, image and reputation of the trademark are harmed<\/strong> as a result of the counterfeit product being produced and put on the market in a poor-quality, bad or improper manner, <strong>a separate claim for damages may be brought under Turkish law for that loss of reputation.<\/strong><\/li>\n<li data-path-to-node=\"10,1,0\"><strong><strong>Claim for lost profit (IPL Art. 151): <\/strong><\/strong>Where a trademark is infringed,<strong> the profit of which the rights holder has been deprived (the lost profit)<\/strong> is determined under<strong> IPL Art. 151,<\/strong> at the claimant&#8217;s choice, according to one of the following <strong>three calculation methods<\/strong>:<\/li>\n<\/ol>\n<ul>\n<li data-path-to-node=\"13,0,0\"><b data-path-to-node=\"13,0,0\" data-index-in-node=\"0\">Probable income method:<\/b> The probable income the rights holder could have obtained in Turkey by using the trademark had the trademark right not been infringed.<\/li>\n<li data-path-to-node=\"13,1,0\"><b data-path-to-node=\"13,1,0\" data-index-in-node=\"0\">Net profit of the infringer method:<\/b> The net profit obtained by the infringing party as a result of selling counterfeit goods and using the trademark unlawfully.<\/li>\n<li data-path-to-node=\"13,2,0\"><b data-path-to-node=\"13,2,0\" data-index-in-node=\"0\">Hypothetical licence fee method:<\/b> The comparable licence fee the infringer would have had to pay had it used the trademark lawfully under a licence agreement.<\/li>\n<\/ul>\n<p data-path-to-node=\"14\">Through an expert examination, the court applies the method that fits the specific case best under Turkish law, <strong>taking into account the evidence in the file, the commercial value of the trademark and the extent of the infringement<\/strong>.<\/p>\n<h4 data-path-to-node=\"15\"><span class=\"ez-toc-section\" id=\"c_What_Are_the_Interim_Legal_Protection_Mechanisms_for_Fake_Product_Sales_in_Turkey\"><\/span>c) What Are the Interim Legal Protection Mechanisms for Fake Product Sales in Turkey?<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<p data-path-to-node=\"16\">In order to establish precisely the amount of the loss and the extent of the infringement before a damages case is filed, <b data-path-to-node=\"16\" data-index-in-node=\"107\">a Determination of Evidence under IPL Art. 150\/3<\/b> may be requested. <strong>In this way the commercial books, stocks and sales records of the infringer are taken under examination by the court.<\/strong> In addition, in order to prevent the infringement from continuing during the proceedings,<strong> aimed at stopping the sale and the distribution of counterfeit goods,<\/strong> <b data-path-to-node=\"16\" data-index-in-node=\"390\">Interim Injunction<\/b> orders may be requested.<\/p>\n<p data-path-to-node=\"17\"><strong>Where the compensation awarded by the court is not paid voluntarily, <a href=\"https:\/\/www.cbhukuk.com\/en\/practice-areas\/debt-enforcement-in-turkey\/\">enforcement proceedings based on a judgment<\/a> are conducted.<\/strong> In practice, since persons or shell companies trading in counterfeit goods carry a high risk of concealing their assets, it is critical that<strong> precautionary attachment and asset investigations<\/strong> be carried out with care from <strong>the very beginning of the process in Turkey.<\/strong><\/p>\n<div style=\"max-width: 760px; Since <strong>a counterfeit product is regarded as performance contrary to the contract and legally defective,<\/strong> the consumer may exercise the following <strong>optional rights<\/strong> against the seller:<\/p>\n<ol>\n<li data-path-to-node=\"9,0,0\"><b data-path-to-node=\"9,0,0\" data-index-in-node=\"0\">Rescission of the contract:<\/b> Requesting the refund of the price paid by stating readiness to return the item sold.<\/li>\n<li data-path-to-node=\"9,1,0\"><b data-path-to-node=\"9,1,0\" data-index-in-node=\"0\">Reduction of the price:<\/b> Requesting a reduction in the price in proportion to the difference between the defect-free value and the defective value of the goods.<\/li>\n<li data-path-to-node=\"9,2,0\"><b data-path-to-node=\"9,2,0\" data-index-in-node=\"0\">Free repair or replacement:<\/b> Requesting that the product be replaced with a defect-free equivalent, where this is possible.<\/li>\n<\/ol>\n<p data-path-to-node=\"10\">In purchases made through e-commerce platforms, the consumer may, in addition to these optional rights, exercise <b data-path-to-node=\"10\" data-index-in-node=\"136\">the 14-day right of withdrawal without cause<\/b> under the Distance Contracts Regulation in Turkey.
